What OnTrax is, and what it is not.

Purpose

OnTrax is the OHZEHN-TEX™ licensing console operated by Ohzehn Group LTD. It assembles a jurisdiction-aware brand-licensing packet, sends it to the licensee for electronic signature, and stores an executed counterpart with a full audit trail. It is a workflow tool, not legal advice.

Electronic signature

OnTrax implements electronic signature in compliance with the United States Electronic Signatures in Global and National Commerce Act (ESIGN Act, 15 U.S.C. §7001 et seq.) and the Uniform Electronic Transactions Act (UETA). Signers affirmatively consent to conduct business electronically, type their full legal name, draw a signature, and confirm intent before the system records a signature. The system captures the signer's typed name, drawn signature image, email address, IP address, user agent, UTC timestamp and a unique signature identifier, and appends them to the signed PDF on a dedicated Electronic Signature Certificate page. For most commercial agreements in the United States, United Kingdom (Electronic Communications Act 2000), Hong Kong (Electronic Transactions Ordinance, Cap. 553) and Australia (Electronic Transactions Act 1999), this method produces an enforceable simple electronic signature. The European Union eIDAS Regulation (Regulation (EU) No 910/2014) tiers signatures into simple, advanced and qualified categories; OnTrax produces a simple electronic signature, which is admissible but may be insufficient for transactions requiring an advanced or qualified electronic signature.

Recommended counsel review

We recommend review by counsel licensed in the licensee's jurisdiction prior to execution. The licensor's counsel is engaged in Hong Kong and the Commonwealth of Pennsylvania.
